These terms govern your use of Chatlah. By creating an account or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
1. Definitions
"Chatlah", "we", "us" means Z Talent Solutions Sdn. Bhd., a company registered in Malaysia. "You" or "Customer" means the business that holds the account. "End Customer" means a person who communicates with you through the service. "Customer Data" means the content and data you or your End Customers submit. "Meta Platform" means the WhatsApp Business Platform and related Meta services.
2. Accounts
- You must provide accurate registration details and keep them current.
- You are responsible for the security of your credentials and for everything done under your account.
- You must tell us promptly if you suspect unauthorised access.
- You must be legally capable of entering a contract and not barred from receiving the service under applicable law.
3. The service
Chatlah is a customer communication platform. Subject to these terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to use it for your internal business purposes for as long as your account is active.
You may not resell, sublicense or provide the service to third parties as a service of your own without our written agreement.
4. Your Meta assets
- You authorise Chatlah to access and act on your WhatsApp Business Account for the purpose of providing the service. That authorisation is what our access depends on.
- You may revoke that authorisation at any time. Doing so immediately ends our ability to send messages or manage assets on your behalf, and will stop parts of the service from working.
- You are responsible for holding the rights necessary to grant that authorisation, including where the account belongs to a client of yours.
- Meta may change, suspend or withdraw access to its platform. Where that happens we will tell you, but it is not a breach of these terms by us.
5. Third-party platform fees
Charges raised by Meta for WhatsApp conversations, template messages or other platform usage are billed by Meta directly to you. They are separate from any Chatlah subscription fee and we do not collect, mark up or resell them.
You are responsible for maintaining a valid payment method with Meta. Fees charged by any other third-party service you connect are likewise your responsibility.
6. Acceptable use
You must not use Chatlah to:
- send unsolicited messages, or message anyone who has not opted in as required by the applicable platform's rules;
- send unlawful, deceptive, harassing, or infringing content;
- impersonate another person or business;
- collect or process personal data without a lawful basis;
- circumvent rate limits, probe our systems, or interfere with the service for others;
- use the service to build a competing product.
6.1 Platform policy compliance
When you use Chatlah to communicate through the Meta Platform, you must comply with Meta's applicable terms, including the WhatsApp Business Messaging Policy and the WhatsApp Business Terms of Service, as they change from time to time. Those obligations apply to you directly as the sender of record.
We may suspend or limit your access, in whole or in part, where we reasonably believe your use breaches those policies, puts our platform access at risk, or exposes End Customers to harm. Where practical we will tell you first.
7. Automated and AI messaging
- You configure which parts of your workflows are automated and which require human approval. Those settings are yours, and you are responsible for them.
- You remain the sender of record for every message sent from your account, whether written by a person or generated by an agent workflow.
- AI-generated output can be wrong. You are responsible for reviewing anything that carries commercial, legal or safety consequence before it is sent. We recommend keeping human approval enabled for pricing, commitments and contractual statements.
- You must not present an automated agent as a human where doing so would mislead an End Customer or breach applicable law or platform policy.
8. Your data
- Customer Data belongs to you. You grant us a limited licence to host, process and transmit it solely to provide the service and as described in our Privacy Policy.
- You are the controller of End Customer personal data. We act as your processor and follow your instructions.
- You confirm you have the lawful basis and any consents required to send the messages you send and to have us process the data you provide.
- You may export your Customer Data while your account is active. On termination we delete it in line with the retention periods in the Privacy Policy.
- We may use aggregated, de-identified data that cannot be linked back to you or your End Customers to operate and improve the service.
9. Availability and dependencies
We work to keep Chatlah available but do not guarantee uninterrupted service. We may carry out maintenance, and will give notice where reasonably practical.
Chatlah depends on third-party platforms, including the Meta Platform. Interruptions, policy changes, rate limits, quality-rating downgrades or account restrictions imposed by those platforms are outside our control and are not a breach by us.
10. Fees
- Fees, billing period and included usage are those set out in your plan at the time of purchase.
- Subscriptions renew automatically unless cancelled before the end of the current period.
- Fees are non-refundable except where required by law or where we agree otherwise in writing.
- We may change pricing with reasonable prior notice, effective from your next billing period.
- Fees exclude taxes, which you are responsible for.
- We may suspend access to accounts with overdue fees after notice.
11. Intellectual property
Chatlah, including the software, interface, documentation and brand, remains our property. These terms grant no rights in it beyond the right to use the service. Feedback you give us may be used without obligation or attribution.
12. Liability
To the maximum extent permitted by law, the service is provided "as is" and we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill. Our total aggregate liability arising out of or in connection with these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
You will indemnify us against claims arising from your Customer Data, your messages, or your breach of these terms or of applicable platform policies.
13. Term and termination
- These terms apply while your account is open.
- You may cancel at any time; cancellation takes effect at the end of the current billing period.
- We may suspend or terminate for material breach, non-payment, or where required to protect the service, other customers or our platform access. Where practical we will give notice and an opportunity to fix the problem.
- On termination your right to use the service ends. Sections on data, intellectual property, liability and general terms survive.
14. General
- Changes. We may update these terms. Material changes take effect on reasonable notice, and continued use after that constitutes acceptance.
- Assignment. You may not assign these terms without our consent. We may assign to a successor in connection with a merger or sale of the business.
- Severability. If a provision is unenforceable, the rest remains in force.
- No waiver. Not enforcing a right is not a waiver of it.
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us on this subject.
- Governing law. These terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction.
- Disputes. Before starting proceedings, contact us at legal@chatlah.ai so we can try to resolve the matter directly.
